Terms of Service

These Terms of Service govern access to and use of the WinTraffic website and services. By browsing the website, requesting a demo, creating an account, placing an order, or using the service, you agree to these Terms.

1. Scope and acceptance

These Terms apply to the WinTraffic marketing website, related application experiences, and any service, demo, onboarding flow, customer workspace, or feature made available under the WinTraffic brand.

If you use the service on behalf of a company or other organization, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use the website or the service.

2. Business use and eligibility

The service is designed for business and professional use. You must provide accurate and up-to-date information and use the service in compliance with applicable law.

You are responsible for activity under your accounts, for keeping credentials confidential, and for managing access granted to your authorized users.

3. Accounts, access, and integrations

Some features require an account or a customer workspace. We may rely on third-party authentication and payment providers to operate parts of the service.

When you connect an integration such as Google Search Console, you authorize us to access and use the data strictly needed to provide the requested functionality. You remain responsible for having the necessary rights over the accounts, domains, content, and integrations you connect or submit to the service.

4. Orders, fees, and payment

Fees, payment timing, commitment periods, discounts, beta terms, included services, and commercial terms are those shown at checkout, in an order form, proposal, or other written commercial document accepted by the parties.

Unless agreed otherwise in writing, fees are due when scheduled and exclude applicable taxes. If payment is late or fails, we may suspend part or all of the service after reasonable notice unless the law requires a different process.

5. Customer data, content, and your responsibilities

You retain your rights in the content, information, data, instructions, brands, and materials you provide or ask us to process. You grant us the rights needed to host, copy, analyze, transmit, transform, and display that material solely to provide, secure, maintain, and improve the service in line with the contract and applicable law.

You represent and warrant that you have all rights, permissions, and lawful bases needed to provide data, connect integrations, request analysis of a site, domain, property, or content, and use the outputs generated by the service.

6. Prohibited use

You must not use the service in an abusive, fraudulent, unlawful, or rights-infringing way.

  • Bypassing security measures, probing the service, or testing it without authorization.
  • Introducing malicious code, disrupting the service, or trying to gain unauthorized access.
  • Using the service to break the law, infringe intellectual property rights, evade contractual restrictions, or violate another person's privacy.
  • Submitting data or content you are not authorized to provide.
  • Reselling, sublicensing, cloning, reverse engineering, or commercially exploiting the service beyond the rights expressly granted to you.

7. AI features, outputs, and third-party services

The service may generate content, analyses, suggestions, scores, briefs, summaries, reports, and recommendations using automated systems and AI models. These outputs may contain errors, omissions, approximations, or outdated information and must be reviewed by a human before any decision, publication, contractual commitment, or action with legal, financial, or commercial impact.

The service may also depend on third-party services, third-party data, or external integrations. We are not responsible for third-party downtime, policies, content, data, or decisions.

8. Intellectual property

The website, service, software, interface, workflows, visual assets, documentation, databases, trademarks, and all other protected elements operated by WinTraffic remain the property of WinTraffic or its licensors.

Unless a written agreement says otherwise, these Terms give you only a limited, non-exclusive, non-transferable, revocable right to access and use the service during the permitted term for your internal business purposes.

9. Availability, changes, and support

We use commercially reasonable efforts to make the service available and keep it operational, but we do not guarantee uninterrupted availability, complete absence of errors, or universal compatibility with all tools and environments.

We may update, correct, suspend, or remove part of the service for technical, security, legal, operational, or product reasons. Any service level commitments must be set out in a separate written document.

10. Confidentiality

Each party must protect the other party's confidential information with reasonable care and at least the same care it uses for its own sensitive information. This does not apply to information that is already public, lawfully received from a third party without confidentiality obligations, independently developed, or required to be disclosed by law.

11. Warranties and disclaimers

Except for express written commitments, the website and service are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement, continuous availability, perfect accuracy, error-free operation, and guaranteed results.

WinTraffic is not a law firm, accounting firm, or regulatory advisory provider. Content, analyses, and recommendations delivered through the website or service do not constitute legal, tax, accounting, or regulatory advice.

12. Limitation of liability

To the maximum extent permitted by law, WinTraffic is not liable for indirect, incidental, special, punitive, or consequential damages, or for lost profits, revenue, business, customers, opportunities, reputation, data, or anticipated savings.

To the maximum extent permitted by law, WinTraffic's total aggregate liability arising out of or relating to these Terms or the service is limited to the amount you actually paid to WinTraffic during the twelve months before the event giving rise to the claim. This limitation does not apply where the law forbids it, including cases involving fraud, gross negligence, willful misconduct, personal injury, or other non-waivable liability.

13. Suspension and termination

We may suspend or terminate access if you breach these Terms, use the service in a way that creates risk for us, other users, or third parties, fail to pay amounts due, or if we must do so to comply with the law.

You may stop using the service at any time and ask to close your account, subject to any ongoing commercial or contractual commitments. Clauses that by their nature should survive termination will continue to apply after termination.

14. Governing law and disputes

Unless mandatory law says otherwise, these Terms are governed by the law of the place where the provider operating WinTraffic is established, excluding conflict-of-laws rules. Unless mandatory law says otherwise, any dispute relating to the website or service is subject to the exclusive jurisdiction of the courts with authority over the provider's registered office.

15. Changes and contact

We may update these Terms to reflect changes to the service, our practices, or legal requirements. The version published on this page applies from its effective date unless a written agreement states otherwise.
